Late Payment Policy
- Overdue balances incur 2% weekly late fee

Binding agreement terms
General Terms
- Quote valid for 30 days from date of issue
- Subject to site access verification
- Standard force majeure protections apply
- Any changes to scope must be confirmed by written annex signed by both parties
Cancellation Policy
- Before production: Deposit refundable minus documented costs
- After production begins: 50% of invoice value payable
- Force majeure events will be communicated with revised timelines
Delivery & Site Requirements
- Site must be accessible, level, and obstruction-free
- Buyer to provide electricity connection near installation site
- Required permits/approvals are Buyer's responsibility unless agreed otherwise
- Additional costs due to site inaccessibility or delays caused by Buyer are chargeable
Dispute Resolution
- Both parties agree to attempt mediation before legal escalation
- Governed by the laws of Dubai, UAE
- Courts of Dubai shall have exclusive jurisdiction
Special Conditions & Ownership
- Retention of Title: Goods remain the property of Smartsale LLC (EBRA Home) until fully paid
- Warranty Activation: Warranty & after-sales services are valid only after full payment is received
- Scope Changes: Any modifications to scope, specifications, or design must be documented in a written annex signed by both parties
- Design Approval: Final design & 3D concept approval required before manufacturing begins (3-7 days)

What Happens After Deposit
Upon receipt of the initial deposit, we will commence the detailed design phase including:
- Complete 3D renders and visualizations of your pergola system
- Detailed structural engineering drawings
- Technical specifications and material schedules
- Final design approval before manufacturing begins
