Payment Terms
  • 50% Deposit (non-refundable once production begins) – due upon signing this LPO.
  • 50% Progress Payment – due before delivery, once production is completed.
  • Payment Method: Bank transfer or cash.
  • Invoice: Issued only after full payment has been received.
Delivery & Installation
  • Estimated Lead Time: 8-10 weeks, calculated from the date of deposit, approved design/specifications, and permit approval.
  • Supplier coordinates scheduling; Buyer ensures site accessibility, electricity supply, and permits if required.
  • Extra costs due to inaccessible sites or missing permits are chargeable to Buyer.
Warranty
  • Structure: 10 years
  • Finishes/Coatings: 1 year against peeling/fading
  • Glass & Hardware: 2 years
  • Blinds: 2 years
  • Installation: 1 year
  • Conditions: Warranty valid only with semi-annual maintenance.
  • Exclusions: Natural disasters, misuse, unauthorized modifications, or extreme weather damage.
Cancellation & Refunds
  • Buyer Cancellation (Before Production): Deposit refundable minus documented costs.
  • After Production Starts: 50% of invoice value payable.
  • Late Payment: 2% weekly late fee after 5 business days. If unpaid after 14 days, Supplier may suspend work, retain payments, and/or pursue legal remedies.
Force Majeure
  • Supplier is not liable for delays caused by events outside reasonable control, including but not limited to:
  • Manufacturing delays at factory, global or local supply chain disruptions, raw material shortages
  • Customs or port clearance delays, government regulations, shipping carrier delays
  • Labor shortages, extreme weather, or acts of God
  • In such cases, updated delivery timelines will be communicated to Buyer. No penalties or compensation apply for delays resulting from the above conditions.
Access, Site Preparation & Scaffolding
  • Buyer must provide safe and accessible installation conditions.
  • If scaffolding, lifting equipment, or special access equipment is required due to installation height or restricted access, such equipment and associated costs are the responsibility of the Buyer.
  • If the site is not ready, inaccessible, or requires additional preparation, scheduling modifications or additional costs may apply.
Exclusions
  • Civil work and foundations
  • Electrical connections beyond control point
  • Municipality/developer approvals and permits
  • Any work not explicitly listed in the pricing breakdown
Special Conditions
  • Ownership: Goods remain property of EBRAHome until fully paid.
  • Notes: Final measurements, exact layout, and component configuration must be confirmed and approved prior to production.
Dispute Resolution & Governing Law
  • Parties agree to attempt mediation before legal remedies.
  • Governing Law: Dubai, UAE
  • Jurisdiction: Dubai courts hold exclusive jurisdiction.
